According to the Swedish Companies Act, the General Meeting is the highest decision-making body in a Swedish limited liability company and the shareholders exercise their voting rights at these general meetings. The Annual General Meeting of RevolutionRace will be held within six months of the end of the financial year. In addition to the Annual General Meeting, an Extra General Meeting may be held if necessary. RevolutionRace's annual general meeting is held in Borås municipality, where the Company has its registered office, or in Stockholm or Gothenburg municipality. Notice of a general meeting is made by advertising in Post- och Inrikes Tidningar (the Swedish Official Gazette) and by making the notice available on the company's website. The notice will also be announced in Dagens Industri. At the Annual General Meeting, RevolutionRace shareholders resolve on various issues, including the adoption of income statements and balance sheets, appropriation of the company's results, the issue of discharge from liability for the Board of Directors and the CEO, the composition of the Nomination Committee, election of board members (including chairman of the board of directors) and auditor, remuneration to board members and auditor, and guidelines for remuneration to the CEO and other senior executives. RevolutionRace’s shareholders also resolve on other issues of importance to the company at the General Meeting, such as possible changes to the Articles of Association.
All shareholders who, six business days before the general meeting, are entered in the company's share register maintained by Euroclear Sweden, and who, no later than the date specified in the notice convening the general meeting, have notified the company of their intention to attend, have the right to participate in the general meeting and vote for the number of shares they hold. In addition to notifying the company, shareholders who have their shares registered in the name of a nominee through a bank or other nominee must request that their shares be temporarily registered in their own name in the share register maintained by Euroclear Sweden, in order to be entitled to participate in the meeting. Since voting rights registrations from nominees must have been received no later than four business days before the meeting in order to be taken into account, shareholders should inform their nominees well in advance of the record date of the meeting. Shareholders may attend RevolutionRace's general meeting in person or by proxy and may bring a maximum of two advisors. Normally, shareholders have the opportunity to register for a general meeting in several different ways in accordance with what is stated in the notice convening the meeting.
Shareholders who wish to have a matter dealt with at the General Meeting shall request this in writing to the Board of Directors. The request must have been received by the Company no later than seven weeks before the general meeting or after that time, but in such time that the matter can be included in the notice convening the general meeting.
